Item 8.01 Other Events.
During the period from February 22 to March 5, 2021, the following directors and officers of the Company entered into individual sales plans pursuant to Rule 10b5-1 of the Securities Exchange Act of 1934, as amended, for trading in shares of the Company’s Class A Common Stock: Chairman C. James Koch, Sr. Vice President of Supply Chain Quincy Troupe, and Chief People Officer Carolyn O’Boyle. Additionally, the Valette Family Revocable Trust entered into a Rule 10b5-1 Plan; Director Jean-Michel Valette is the Donor and Trustee of this Trust, which is for the benefit of himself and his spouse.
The aggregate number of shares that may be sold pursuant to these 10b5-1 plans is 211,220 shares. The purpose of each of these 10b5-1 plans is to provide liquidity and investment diversification. Once executed, transactions under each 10b5-1 plan will be disclosed publicly through Form 4 and/or Form 144 filings with the Securities and Exchange Commission to the extent applicable.
