Item 8.01 Other Events.

During the period from April 27 to May 10, 2021, the following directors and officers of the Company entered into individual sales plans pursuant to Rule 10b5-1 of the Securities Exchange Act of 1934, as amended, for trading in shares of the Company’s Class A Common Stock: Chairman C. James Koch, Chief Executive Officer David A. Burwick, and Sr. Vice President of Supply Chain Quincy Troupe. Additionally, the David A. Burwick 2020 Irrevocable Trust (the “Burwick Trust”) entered into a Rule 10b5-1 Plan. Mr. Burwick is the settlor and his spouse is the Trustee of the Trust; he disclaims beneficial ownership of the shares held in the Trust.

The aggregate number of shares that may be sold pursuant to these 10b5-1 plans is 69,101 shares. The purpose of each of these 10b5-1 plans is to provide liquidity and investment diversification. Once executed, transactions under each 10b5-1 plan will be disclosed publicly through Form 4 and/or Form 144 filings with the Securities and Exchange Commission to the extent applicable.
